THE U.S. CELLULAR® “BLUE AND WHITE SCRIMMAGE” CONTEST OFFICIAL RULES

NO PURCHASE, MOBILE DEVICE OR U.S. CELLULAR ACCOUNT NECESSARY TO ENTER OR WIN. MAKING A PURCHASE, HAVING A U.S. CELLULAR ACCOUNT OR USING A MOBILE DEVICE WILL NOT INCREASE YOUR CHANCES OF WINNING A PRIZE. VOID OUTSIDE THE STATE LISTED IN RULE 2, BELOW, AND WHERE PRO- HIBITED BY LAW.

THIS CONTEST IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, FACEBOOK OR TWITTER. FACEBOOK AND TWITTER ARE NOT AFFILIATED WITH THE SPONSOR IN ANY WAY.

1. OVERVIEW/CONTEST PERIOD/HOW TO PARTICIPATE: The U.S. Cellular “Blue and White Scrimmage” Contest (the “Contest”) sponsored by U.S. Cellular (“Sponsor”) begins at 9:30 AM Central Time (“CT”) on October 3, 2015 and ends at 3:00 PM CT on October 3, 2015 (the “Con- test Period”). During the Contest Period, Sponsor will disseminate, via posts on Facebook at dif- ferent times during the Contest Period, clues as to the whereabouts of Sponsor’s representa- tives (each, a “Rep”) in each of three (3) locations in Oklahoma City, Oklahoma and Newcastle, Oklahoma. One Rep will be located at each location. The first five (5) eligible participants to find the Rep at each location within one (1) hour after the clue to that location is posted will receive one of the prizes described in Rule 3, below (subject to verification of eligibility). Prizes that are not claimed in accordance with these Official Rules within one (1) hour following the posting of the clue for the applicable location will not be awarded. In the event two (2) or more participants reach a location at exactly the same time, the first such participant(s) (up to five (5) to be greeted and acknowledged by the Rep at that location will be deemed the prize win- ner(s). USE CAUTION AND COMMON SENSE WHEN TRAVELING TO ANY LOCATION IN CON- NECTION WITH THE CONTEST.

The Contest is subject to all applicable federal, state and local laws and regulations. Participa- tion constitutes each individual participant’s full and unconditional agreement to abide by, and be bound by, these Official Rules and the decisions of the Reps and Sponsor, which shall be final and binding in all matters related to the Contest. Winning a prize is contingent upon compli- ance with these Official Rules.

2. ELIGIBILITY: Entry into the Contest is open only to legal residents of Oklahoma who are eight- een (18) years of age or older. Employees, officers and directors of Sponsor, its parent compa- ny, subsidiaries, affiliates, authorized agents, sales representatives, distributors, advertising and promotional agencies, and members of the immediate families (defined as including spouse, biological, adoptive and step- parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether re- lated or not) of any of the above are NOT eligible to participate in this Contest.

3. PRIZES: A total of fifteen (15) prizes are available to be awarded. Each prize will consist of two (2) seats (for winner and a guest) at the Blue and White Scrimmage, which will take place at Newcastle High School in Newcastle, Oklahoma on October 4, 2015. Each prize includes the op- portunity for the winner and guest to attend a chalk talk with General Manager Sam Presti prior to the scrimmage (subject to Mr. Presti’s availability). Each winner’s guest must be eighteen years of age or older, unless the guest is the winner’s child or legal ward. All prizes will be awarded provided they are claimed properly in accordance with these Official Rules. Limit one (1) prize per person. The prizes have no monetary value.

4. PRIZE CONDITIONS/CLAIMING PRIZES: No prize substitution or transfer allowed. In no event will Sponsor be required to award more than thirty (30) prizes. Potential winners must present proof of identification, including proof of age, and may be required to answer any questions the Rep asks as a condition of being awarded a prize. Once a winner’s eligibility has been verified, to the satisfaction of the Rep, the winner will receive the prize on the spot. If a Rep determines, in his/her sole discretion, that a potential winner is not eligible to receive a prize, that prize will be forfeited an awarded to an alternate winner (if any). Acceptance of a prize constitutes permission, where lawful, to use each winner’s name, photo- graph, statements made by him/her, his/her filmed/recorded image, and/or other likeness for Sponsor’s promotional and/or advertising purposes, in commerce and in any and all media worldwide, including but not limited to social media, without limitation and without additional notice or compensation. By participating in the Contest, all participants consent to use of their names, cities/states of residence, likenesses, statements and ages for advertising, promotional or marketing purposes in commerce and in any media worldwide, including but not limited to social media, without limitation and without compensation or additional notice.

5. GENERAL CONDITIONS: Sponsor is not responsible for: (i) electronic or digital transmissions or posts that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or misdirected; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions or defects in the posting or receipt of clues (including but not limited to failures or malfunctions of platforms, applications or other communications systems); (iii) failed or unavailable hardware, software or mobile device transmissions (if applicable); (iv) causes beyond Sponsor’s reasonable control that jeopardize or affect the administration, security, fairness, integrity or proper conduct of this Contest; (v) any asserted prize claim made in a manner that is not expressly allowed under these Official Rules; (vi) incorrect or inaccurate information whether caused by individual participants or by any of the equipment or programming associated with or utilized in the Contest; (vii) any typographical or other error in any printing or advertising related to this Contest, in the administration or execution of the Contest, or in the determination of prize winners; or (viii) violation of these Official Rules, cheating or fraud by any individual participant.

If for any reason this Contest cannot be executed as planned, including but not limited to infection by virus, bugs, tampering, unauthorized intervention, fraud, technical failures, force majeure, social media platform mandates or changes, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of this Contest, or if this Contest is compromised or becomes corrupted in any way, electronically or otherwise, Sponsor reserves the right, in its sole discretion, to suspend, modify or terminate this Contest. If the Contest is terminated prior to the end of the Contest Period, the Sponsor reserves the right to award any remaining prizes in any manner it deems fair. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY CORRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST, OR TO HARRASS OR HARM ANY OTHER PARTICIPANT OR REP, MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY, PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

6. LIMITATIONS OF LIABILITY: By participating in this Contest, all participants agree to waive, release and hold harmless Sponsor, the Reps, Facebook, Inc., Twitter, their respective parent, subsidiary and affiliated companies, advertising and promotion agencies, and the officers, employees, directors and agents of each of the foregoing (collectively, the “Released Par- ties”), from and against any and all rights, claims and causes of action whatsoever that they may have, or that may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, death, loss, or damage, to person and/or property, including but not limited to claims for violation of privacy rights, defama- tion or portrayal in a false light, allegedly arising in whole or in part, directly or indirectly, from their participation in this Contest or in any Contest-related activities (including but not limited to all travel related thereto), or their acceptance, possession, use or misuse of a prize (if applicable).

7. DISPUTES/VENUE/GOVERNING LAW: By participating, all participants agree that: (a) any and all disputes, claims and causes of action arising out of, or connected with, this Contest or a prize (if applicable) shall be resolved individually, without resort to any form of class action, and ex- clusively by the appropriate court located in Cook County, Illinois; (b) any and all claims, judg- ments and awards shall be limited to actual out-of-pocket costs incurred, including but not lim- ited to costs associated with entering this Contest, but in no event attorneys’ fees; and (c) to the extent allowed by applicable law, under no circumstances will participants be permitted to obtain awards for, and each participant hereby waives, all rights to claim, punitive, incidental and/or consequential damages and/or any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDIC- TIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of any participant or Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the internal laws of the State of Illinois without giving effect to any choice of law or conflict of law rules or provisions that would cause the ap- plication of any other state's laws. The invalidity or un-enforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Offi- cial Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepan- cy or inconsistency between disclosures or other statements contained in any Contest-related materials or in statements made by Sponsor’s Reps, and the terms and conditions of these Of- ficial Rules, these Official Rules shall prevail, govern and control.
